This Website Service Agreement (the “Agreement”) is entered into by and between Kodiak Creative (“Provider”) and the client (“Client”).
1. Service Plan Selection
Client has selected the following service plan:
Plan Name: [Basic/Plus]
Monthly Support Hours: [1/Up to 4]
Additional Support Hourly Rate: [$100/$75]
The selected service plan includes the following services:
Premium WordPress Hosting
• Daily Site Backups
• Premium WordPress Plugins for Security and Optimization
• SSL Certificate
• Managed WordPress Updates
• Security & Uptime Monitoring
2. Payment Terms
Client agrees to pay for the services provided by Provider according to the following terms:
Payment Frequency: [Annually/Semi-Annually/Quarterly/Monthly]
Monthly Payment Fee: 3% (applies if Client chooses to pay monthly)
Late Payment Fee: 5% (applies if payment is late by 15 days or more)
Additional Late Payment Fee: 5% for every additional 15 days of late payment
3. Service Scope
3.1 Work Estimates: If Client requests work estimated to require more than three hours of time by Provider, Client will be provided with a quote for the additional time.
3.2 Website Downtime: Any website downtime caused by Client will be quoted and billed if it exceeds the included monthly support hours.
4. Intellectual Property
4.1 Website Design: Client owns the rights to the final website design upon completion and full payment of the initial scope of work. Client is under no obligation to continue service with Provider once the initial scope of work is completed and paid for in full.
4.2 Software and Plugins: All supporting software and plugins used by Provider are licensed to Client as long as Client remains in good standing with Provider.
5. Confidentiality
5.1 Confidential Information: Client agrees to inform Provider if any information shared during the course of this agreement is confidential.
5.2 Confidentiality Measures: Provider will take reasonable measures to maintain the confidentiality of any information identified as confidential by Client.
6. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the state of Iowa. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located within the state of Iowa.
